By approving any quote, invoice, proof, mockup, artwork, design, or order submitted to HonestCoinsLI, Corp., the customer acknowledges and agrees to the following terms and conditions:

HonestCoinsLI, Corp. manufactures custom products based on customer-supplied or customer-approved artwork, text, specifications, and instructions, including but not limited to coins, patches, pins, stickers, and related items. HonestCoinsLI, Corp. will make commercially reasonable efforts to manufacture and deliver products that conform to the final proof or specifications approved by the customer.

The customer is solely and exclusively responsible for carefully reviewing and approving all proofs, layouts, artwork, designs, specifications, and order details before production. This includes, without limitation, responsibility for spelling, grammar, wording, layout, dimensions, colors, image placement, foreign language text, translations, insignia, logos, slogans, and all other content. Customer approval constitutes a representation that the submitted and approved materials are accurate, complete, and authorized for production.

Any review, suggestion, identification of possible issues, or courtesy inspection performed by HonestCoinsLI, Corp. is voluntary only and does not create any duty, warranty, or legal responsibility on the part of HonestCoinsLI, Corp. Final responsibility for all approved content remains solely with the customer.

The customer represents and warrants that any text, artwork, image, logo, insignia, badge design, slogan, phrase, color combination, trade dress, or other material submitted, requested, or approved for production does not infringe, misappropriate, dilute, or otherwise violate any copyright, trademark, service mark, trade name, trade dress, right of publicity, right of privacy, license, contract right, governmental restriction, or other proprietary, legal, or ethical right of any third party. The customer further represents and warrants that the customer has obtained all permissions, licenses, releases, approvals, and authorizations necessary for the lawful use, reproduction, display, manufacture, and sale of such materials.

Without limiting the foregoing, the customer acknowledges that unauthorized use of protected works, marks, or source-identifying matter may give rise to claims and remedies under federal law, including the Copyright Act, 17 U.S.C. §§ 501-505, and the Lanham Act, 15 U.S.C. §§ 1114, 1116, 1117, and 1125.

The customer agrees to defend, indemnify, and hold harmless HonestCoinsLI, Corp., together with its owners, officers, directors, employees, agents, contractors, successors, and assigns, from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or related to: (a) any material submitted, supplied, requested, or approved by the customer; (b) any alleged or actual infringement, misappropriation, dilution, unauthorized use, or violation of any third-party right; (c) any allegation that the manufactured product is unlawful, misleading, unauthorized, or improperly branded; or (d) any inaccuracy or omission in the customer-approved proof or order details.

All sales of customer-approved custom products are final. HonestCoinsLI, Corp. does not provide returns, exchanges, refunds, or store credit for products manufactured in conformity with the final proof or specifications approved by the customer. If the customer approves a proof and later discovers an error in the approved design, text, content, or specifications, the customer remains fully responsible for that approval.

If HonestCoinsLI, Corp. delivers a product that materially fails to conform to the final customer-approved proof or agreed specifications, HonestCoinsLI, Corp.’s sole and exclusive obligation, and the customer’s sole and exclusive remedy, shall be, at HonestCoinsLI, Corp.’s option, repair, replacement, or remanufacture of the nonconforming product. To the fullest extent permitted by applicable law, all other remedies are excluded.

To the fullest extent permitted by applicable law, HonestCoinsLI, Corp. disclaims all implied warranties, including any implied warranty of merchantability and any implied warranty of fitness for a particular purpose, except to the extent such disclaimer is prohibited by law. The parties agree that the remedies set forth herein are intended to supplement, modify, or limit remedies otherwise available under applicable law, to the maximum extent permitted by law. New York UCC § 2-316 addresses exclusion or modification of warranties, and New York UCC § 2-719 permits contractual limitation of remedies and exclusive-remedy clauses, subject to statutory limits.

The customer acknowledges that under New York UCC § 2-607, a buyer must pay for accepted goods and must provide notice of breach after acceptance to preserve remedies, and that acceptance of goods has legal effect under Article 2 of the Uniform Commercial Code.

All artwork, renderings, mockups, digital proofs, and product images are for reference only and may not be to scale. Color appearance may vary due to monitor settings, device displays, printers, manufacturing processes, materials, plating, thread, enamel, ink, or other production variables. Exact on-screen or printed color matching is not guaranteed unless expressly agreed in writing.

All sketches, concepts, mockups, proofs, renderings, and artwork created by or for HonestCoinsLI, Corp. remain the property of HonestCoinsLI, Corp. unless otherwise agreed in a separate signed writing, and may not be copied, reproduced, distributed, manufactured, reverse engineered, or used in any manner without prior written authorization from HonestCoinsLI, Corp.
These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. If any provision of these terms is held unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

Nothing in these terms shall be construed to waive any rights, defenses, limitations, or remedies available to HonestCoinsLI, Corp. under applicable federal law, New York law, common law, equity, or contract, including but not limited to rights and remedies recognized under 17 U.S.C. §§ 501-505, 15 U.S.C. §§ 1114, 1116, 1117, and 1125, New York UCC §§ 2-316, 2-607, and 2-719, and New York General Business Law § 349. New York General Business Law § 349 is also why the invoice language should remain accurate and not overstate what the company guarantees.
